Management and Q&A
- No analyst asked a question. The operator opened the queue and reported "At this time, there are no questions", returning the call directly to the CFO for closing remarks. The entire call is prepared remarks from two executives.
- Investor Relations identified CFO Felicia DellaFortuna and COO Jon Volkmann as "both members of the interim office of the Chief Executive", confirming the company is still operating without a permanent CEO.
- DellaFortuna reaffirmed full-year guidance of $620m-$635m of revenue and $105m-$115m of adjusted EBITDA, unchanged.
- The single most important forward disclosure is a subscriber warning embedded in the clinical guidance. DellaFortuna said clinical subscription revenue should be 25%-30% of 2026 revenue, then added that "this growth incorporates moderate declines in clinical subscribers in the remaining quarters", attributed to lower marketing spend, a more balanced allocation across lines of business after Q1's concentrated clinical focus, and "the lapping of our 12-month long-term commitment plan introductions".
- Clinical subscribers of 197,000 were up 55.7% year over year but "held steady from Q1", which DellaFortuna tied to a "significant reduction in marketing spend coming out of peak". Growth in the clinical tier has therefore already stopped sequentially before the guided declines begin.
- Core+ is the genuine bright spot and management framed it in historical terms: 541,000 subscribers, up 13.9% year over year, and "our third consecutive quarter of sequential growth in the tier, a trend we have only seen occur one other time in the past 15 years".
- Segment revenue was disclosed only on the call. Clinical subscription revenue grew 30.4% to $39.9m from $30.6m "despite Q2 2025 reflecting significant contributions from our former compounded semaglutide offering", and clinical rose to 24.6% of total revenue from 15.9% for full-year 2025. Behavioral subscription revenue fell 22.7% to $121.5m from $157.3m.
- Total end-of-period subscribers were 2.5 million, with behavioral at 2.3 million, down 24.6% year over year and with the decline "concentrated in our Core tier". ARPU rose 10.2% year over year on the mix shift.
- DellaFortuna gave the debt paydown mechanics in full. The $36.8m deployed comprised "$26.8 million from our annual cash sweep and $10 million from the previously announced voluntary solicitation, which was fully subscribed at 68.5% of par". That reduced principal by $41.4m, generated the $4.6m gain on extinguishment inside net income, and "lowers our annual interest expense by approximately $4 million".
- The term loan now stands at $423.6m, which she described as "a reduction of more than 70% from the $1.6 billion we carried before our financial reorganization".
- She disclosed the composition of the quarter's net income in a way the release does not: net income of $14.1m includes the $4.6m debt-extinguishment gain and absorbs $25.9m of depreciation and amortization, "the majority of which relates to fresh start accounting".
- Marketing was $47.9m, or 29.5% of revenue, above the prior-year quarter because Q2 2025 "reflected an intentional pullback in marketing spend during our Chapter 11 financial reorganization", and far below the $92.9m spent in Q1 2026 at peak season. Q1's elevated clinical spend was timed "to coincide with the Wegovy pill launch".
- Adjusted gross margin of 73.6% and GAAP gross margin of 70.3% were both described as "on par with Q1" and "near record highs", held steady despite mix shifting toward clinical, "which requires higher staffing costs", through workflow automation and operational efficiency.
- Adjusted SG&A of $25.7m was flat in absolute dollars year over year and "includes the benefit of our exit from the corporate headquarters lease". GAAP SG&A was 31% of revenue, the gap driven by fresh-start depreciation and amortization.
- Adjusted EBITDA of $39.8m at a 24.5% margin compares with a $1.8m loss in Q1 2026 and $65.3m in Q2 2025, the year-over-year decline reflecting "lower revenue and higher marketing investment as a percentage of revenue".
- Cash fell to $101.5m from $120.9m at the end of Q1, with $24.3m generated from operations against $36.8m of debt paydown and $6.1m of capitalized software.
- Volkmann disclosed three distribution and access developments: Weight Watchers Med+ is now accessible "seamlessly through LillyDirect"; Med+ "now supports eligible beneficiaries through the new Medicare GLP-1 Bridge Program, unlocking $50 per month branded GLP-1 medication coverage through late 2027"; and the company "recently launched a new strategic collaboration with Sam's Club".
- Volkmann cited efficacy claims not in the release: Med+ members prescribed GLP-1s "reported over 30% more body weight lost on average at 12 months than select industry competitors"; those who also engage the GLP-1 Success Program "lose 29% more body weight at 12 months on average than those who use medication without engaging"; and members "reduce their calories from ultra-processed foods by 29%".
- Volkmann sized the market context as "more than one in 10 Americans currently taking GLP-1 medications for weight loss".
- Additional forward detail: Q3 is the lowest marketing quarter with spend ramping in Q4 ahead of peak; second-half marketing will be below first-half levels while full-year marketing as a percentage of revenue rises modestly against 2025; adjusted gross margin should decline modestly versus 2025 but "remain above 72%"; product development stays near the Q2 run rate; full-year interest costs are expected at approximately $45m-$50m; and 2026 cash taxes at $5m-$10m.
- DellaFortuna said the company is "very confident that we will generate cash and expect positive operating cash flow for the full year 2026".

Updated neutral analysis
- The absence of a single analyst question is the most striking feature of this call and the most difficult to interpret. For a company that emerged from Chapter 11, is operating under an interim office of the Chief Executive, and beat both scorecard metrics, no sell-side participant sought clarification. Nothing management said was tested.
- The scorecard beats remain poor guides to the quarter. Revenue beat 2.0% while falling 14.2% year over year on a combined basis, and the 193.8% GAAP EPS beat rests on a $14.1m net income that includes a $4.6m debt-extinguishment gain and, per the preliminary, an $11.2m tax benefit — items that together exceed the reported profit.
- The call's most consequential new information is negative and easy to miss: management guided to "moderate declines in clinical subscribers in the remaining quarters". Clinical is the growth engine and the basis for the 25%-30% revenue-share target, and it has already stopped growing sequentially at 197,000.
- The reasons given for that decline are within management's control — lower marketing spend and reallocation away from clinical — plus one that is not: lapping the 12-month long-term commitment plan introductions. Growing clinical revenue share while clinical subscribers decline implies the remaining mix is carrying it, which is only sustainable so far.
- Core+ is the genuinely encouraging line, and management's framing that three consecutive quarters of sequential growth has happened only once before in 15 years is a meaningful statement about a business in long-term subscriber decline. At 541,000 subscribers it is still too small to offset a 2.3 million behavioral base falling 24.6%.
- The mix-shift thesis is working on the metrics management chose to disclose: ARPU up 10.2%, clinical revenue share up 8.7 points against full-year 2025, adjusted gross margin held at 73.6% near record highs despite clinical's higher staffing costs. It is not yet working on total revenue, which fell 14.2%.
- Deleveraging is real and quantified. The term loan at $423.6m is down more than 70% from $1.6bn, the quarter's repurchase at 68.5% of par produced a $41.4m principal reduction for $10m of cash, and annual interest falls approximately $4m. Guided full-year interest of $45m-$50m against $105m-$115m of adjusted EBITDA still absorbs roughly 40%-48% of it.
- Cash fell $19.4m in the quarter despite $24.3m of operating cash generation, because management chose to prioritize debt repayment. At $101.5m of cash with Q4 marketing ramping ahead of peak season, liquidity is adequate but not abundant.
- Adjusted EBITDA fell 39.0% year over year, and the reaffirmed $105m-$115m full-year guide requires roughly $67m-$77m from the second half against $38.0m delivered in the first half, on a marketing plan management says will be below first-half levels. That is achievable arithmetically but leaves little room.
- The distribution developments are the clearest strategic positives: LillyDirect integration, Medicare GLP-1 Bridge Program access at $50 per month through late 2027, and a Sam's Club collaboration each widen the top of funnel without proportionate marketing spend. None was sized.
- The efficacy claims are directionally supportive of the "medication plus behavioral support" positioning but are company-sourced, benchmarked against unnamed "select industry competitors", and were not challenged on the call.
- The unresolved CEO succession sits underneath all of this. A multi-year transformation with a repricing subscription ladder and a guided clinical subscriber decline is being executed by an interim office, and no one asked when that ends.
Market context and limitations
- The Quartr transcript for this event (24 paragraphs, complete and non-live) was read in full. The call consisted entirely of prepared remarks; the operator opened the question queue and reported no questions, so there is no Q&A to assess.
- The consensus scorecard is carried forward verbatim from the event's preliminary report (
reports/preliminary/2026-08-05-ww-q2-2026.md) and was not recalculated. Its actuals come from Quartr earnings release 3670364 and its estimates from the matched API Ninjas row. - The 14.2% combined-basis year-over-year revenue decline and the $11.2m tax benefit inside GAAP EPS are carried from the preliminary report, not restated on this call.
- First-half adjusted EBITDA of approximately $38.0m used in the analysis above is derived from the $39.8m reported for Q2 and the $1.8m loss management stated for Q1 2026; the company did not state a half-year figure.
- All subscriber counts, ARPU growth, segment revenue, margin percentages, and expense lines above are management's own stated figures from the call. Several — total subscribers, Core+ subscribers, ARPU growth, and the clinical and behavioral revenue splits — were given only on the call and in the shareholder letter, not in the earnings release used for the preliminary.
- ARPU was disclosed only as a growth rate; no absolute figure was given.
- Adjusted gross margin, adjusted SG&A, and adjusted EBITDA are company-defined non-GAAP measures. Management directed listeners to the shareholder letter and press release for reconciliations, which were not restated on the call.
- The transcript renders "gross margin" as "growth margin" in the guidance passage ("On growth margin, we continue to expect a modest adjusted growth margin decline in 2026 versus 2025"). Context and the adjacent 72% threshold make clear this refers to adjusted gross margin; it is reported as such above.
- Depreciation and amortization of $25.9m is described by management as majority fresh-start-accounting-related without the split being quantified, so the underlying economic depreciation is not determinable from this call.
- Efficacy figures — over 30% more body weight lost versus "select industry competitors", 29% more with the GLP-1 Success Program, and a 29% reduction in calories from ultra-processed foods — are company-sourced claims. No competitor is named, no study is cited, and no methodology is given.
- The Medicare GLP-1 Bridge Program, LillyDirect availability, and Sam's Club collaboration were announced without any revenue, subscriber, or economic terms.
- No market reaction is assessed. The call was held after the U.S. close on 2026-08-05 and no price snapshot was retrieved for this update.
- The Form 10-Q (3670365) and shareholder letter (3969453) attached to this event were not read for this post-call update; several figures management cited are stated to be reconciled in the shareholder letter.
