- THE SEARAY PURCHASE PRICE AND MULTIPLE WERE DISCLOSED IN FULL, WHICH THE RELEASE OMITTED ENTIRELY. CFO Paul McGarry said "the aggregate base purchase price is CAD 47.9 million or approximately $35 million U.S., with the sellers also eligible for contingent earn-out payments tied to specific EBITDA targets over a two to three year period following the closing." He put the multiple and the underlying earnings alongside it: "the base purchase price represents approximately 5x Searay's baseline Adjusted EBITDA of roughly CAD 9.6 million or approximately $7 million U.S." Consideration is "a mix of cash and HF Foods common stock", with President and CEO Felix Lin adding that the company "will disclose the final split at closing."
- SEARAY'S MARGIN AND GROWTH PROFILE WERE QUANTIFIED. McGarry said Searay "runs Adjusted EBITDA margins in the mid-teens against our consolidated Adjusted EBITDA margin of 4.2% this quarter", making it "margin accretive to the platform from day one." Lin said Searay "has grown revenue at roughly 15% a year since 2019", and separately, answering Aaron Grey (Alliance Global Partners) on gross margin, that "their gross profit margin is north of 20%" against the company's 17.0%. Lin twice referred to closing "in the third quarter". The two are consistent - August falls inside the third quarter - but the August 31 outside date is the tighter commitment and is the one to hold management to.
- A CREDIT FACILITY REFINANCING CLOSED AFTER QUARTER END AND IS NOT IN ANY REPORTED FIGURE. McGarry said the company closed an amendment on July 29 that "increased our asset base revolving commitments from $125 million-$140 million and refinanced our existing term loans, which had an outstanding balance of approximately $95 million into term loans totaling $125 million." The revolver now matures in July 2031 and the term loan in July 2036. The bank group is "JPMorgan Chase as administrative agent and the lender together with Fifth Third Bank and TD Bank, which joined the facility in connection with this transaction." He stated plainly: "Because the refinancing closed after quarter end, it is not reflected in this quarter's financials", with full terms in a Form 8-K filed July 31. None of this appears in the release, whose liquidity table shows the old $125.0m facility.
- CAPITAL EXPENDITURE WAS DISCLOSED AND ITEMISED, WHICH THE RELEASE DID NOT DO. McGarry said the company "spent approximately $20.3 million for the first six months", driven by "the $12.4 million purchase of our previously leased Chicago distribution center, along with $2.8 million of solar investment, which is expected to lower operating costs, $2.1 million of capacity expansion, and $1.4 million of fleet upgrades", with recurring maintenance of approximately $1.7 million. On the solar spend he added that "we will benefit from an investment tax credit refund that will reduce our overall investment by 40%."
- THE QUARTERLY DS&A DOLLAR FIGURE AND THE FUEL COST WERE BOTH GIVEN. The release stated only a $1.2m or 2.4% increase and a percentage of revenue. McGarry put the quarter at "$52.2 million" and named the driver: "higher auto and truck expense, reflecting elevated incremental fuel costs of approximately $1.4 million year-over-year, together with higher insurance and professional service expense, partially offset by lower personnel expense as a result of our transformation initiatives."
- INTEREST EXPENSE AND ITS DRIVER WERE DISCLOSED. McGarry said total interest expense was "$2.9 million for the quarter compared to $2.8 million in the prior year quarter", reflecting a higher average daily line of credit balance, "partially offset by lower average term loan balance and modestly lower floating rates." The line-of-credit figures as transcribed - "$12.1 million-$65.7 million" - are not internally coherent and are reproduced in the limitations section rather than used.

Answering an analyst appearing as Nick for Bill Kirk (Roth Capital) on the sequential margin improvement, Lin described running promotional campaigns with the West Coast business, partnering with key vendors, and a heavy seafood push in the Southeast, said seafood volume gains "drove some of the gross profit dollar improvement that is offsetting some of the pricing pressure that we are seeing, both because of the rising diesel cost and from a conquest standpoint", and concluded: "I expect the rest of the year in 2026, we are still going to be in this conquest mode before margin and everything else gets normalized, probably in 2027 and beyond."

Asked by Daniel Harriman (Sidoti & Company) about the Southeast and Midwest cross-selling ramp and when Charlotte and Atlanta appear in the numbers, Lin said Southeast freezer capacity "likely won't be ready until later in the year or even into 2027" while seafood volume has already grown meaningfully; that Charlotte renovation is "100% completed" and in inspection, "hopefully within the next week or two, Charlotte can be operational"; that Charlotte "is more of an efficiency play with us being able to cut our distribution routes for our Great Wall Seafood VA business that's currently based out of Richmond, Virginia", with DS&A improvement expected "probably going to be in Q4 or so"; and that Midwest capacity expansion is "likely toward the end of 2026 and then 2027."
- SEARAY OPENS NEW CHANNELS, NOT JUST A NEW GEOGRAPHY. Asked by Aaron Grey what the acquisition brings within seafood, Lin said HF Foods has historically focused on independent restaurants in the US, that independent restaurants are "a smaller part of their mix" in western Canada, and that Searay carries "a pretty healthy mix of retail and also wholesale business channels that goes into Asian specialty grocery stores." He called that, alongside the margin profile, "a huge opportunity for us for the future."
- SEARAY IS ALREADY BUILDING A US PRESENCE THAT HF FOODS INTENDS TO ACCELERATE. - THE ACCRETION CLAIM IS ARITHMETICALLY PLAUSIBLE ON THE MARGIN SIDE AND UNVERIFIABLE ON THE EPS SIDE. A mid-teens EBITDA margin business folded into a 4.2% margin platform raises the blended margin - that much follows directly. An investor reading the release alone would size the funding capacity for a $35m acquisition plus ongoing facilities investment against the old structure. McGarry said this directly and it is worth repeating: the refinancing "is not reflected in this quarter's financials."
- THE CAPITAL PROGRAMME IS LARGER THAN THE EARNINGS AND IS MOSTLY ONE ASSET. Approximately $20.3m of first-half capital expenditure against $23.715m of six-month adjusted EBITDA and $14.0m of six-month operating cash flow is a heavy investment year, and $12.4m of it is a single building purchase converting rent to ownership. Only approximately $1.7m was recurring maintenance, so the spend is genuinely discretionary and growth-directed rather than a run rate.

Income from operations fell $1.3m, adjusted EBITDA fell 2% on 2.8% revenue growth, adjusted net income was flat and adjusted diluted EPS was unchanged. Management's framing is that the prior-year quarter was flattered by low-cost inventory and better pricing, and that the strategic events - Searay, the refinancing, the completed transformation build - are what changed. - Three analyst lines were taken and the operator closed when the queue was exhausted: Aaron Grey (Alliance Global Partners), Daniel Harriman (Sidoti & Company) and an analyst introduced as Bill Kirk (Roth Capital) whose line was taken by a colleague who identified himself only as "Nick on for Bill". The Quartr transcript does not attribute that questioner's paragraphs to a named speaker.
- A PRIOR-YEAR NET INCOME FIGURE ON THE CALL DOES NOT MATCH THE RELEASE AND IS NOT RECONCILED HERE.
