CVV Q2 2026 - Post-Call Earnings Update
Verdict
- Nothing material changed on the call. No figure was revised, no guidance was introduced, and management declined to give a break-even revenue level when asked directly.
- Two new disclosures: the total gain on the SDC divestiture is roughly $13.5m once first-quarter transaction costs are counted, against the $13.9m booked in the quarter, and $0.9m of the proceeds sits in escrow.
- Mild relief on the Chapter 11 order: unsecured trade creditors are expected to be unimpaired under the proposed plan, though the company is still evaluating the effect on the $0.8m order and the $3.9m backlog.
- The one thing that matters: management talked the silicon carbide option down, not up. The PVT market is "saturated by the Chinese suppliers" plus onsemi, Wolfspeed and Coherent, there is "nothing really to report on the commercial side," and the recovery case now rests on federal university research funding and post-shutdown re-quoting — neither of which the company controls. That leaves $23.5m of cash and a $2.0m quarterly revenue run rate with no disclosed path to break even.

Management commentary
- CEO Emmanuel Lakios pulled back from the silicon carbide story rather than defending it: the PVT market is "saturated by the Chinese suppliers, and then of course, onsemi, Wolfspeed, and Coherent Corp," and there is nothing to report commercially. Boule characterisation at Stony Brook continues, but disclosure is gated by the university's own release schedule.
- Asked what has to change for orders to return, he named federal funding of university research first — the source of the lower-ASP FirstNano systems that seed later production tools — and government-shutdown delays second, warning that stalled opportunities "have to be rebirthed, re-quoted, funding resubmitted."
- Defence demand was described as interesting but explicitly unquantifiable: not enough information yet to say whether it is a pickup or when.
- Aerospace is the one line with visible momentum, and it is aftermarket: an uptick in proprietary consumables and spare parts at reasonable margins, while the newly launched systems remain in installation and commissioning and have not yet produced follow-on orders.
- On strategic alternatives, no banker was confirmed and nothing was disclosed — only a promise to speak when there is something substantive.
Quality of earnings
- The call confirmed the profit is the sale. Net income of $12.6m ($1.81 per share) is the $13.9m discontinued-operations gain; the continuing business lost $1.4m, or $(0.20) per share, against $(0.19) a year ago. Counting the first-quarter costs, the transaction produced about $13.5m in total.
- The operating loss is wider than the gross profit line suggests. Gross profit was $329k on $2.0m of revenue against a $1.6m operating loss from continuing operations — operating expenses are roughly five times gross profit, and the restructuring savings management expects are not yet in these numbers and were not sized.
- The margin improvement is still mix, not cost. Gross margin of 16.8% versus 14.1% came from a higher proportion of non-system revenue, which management confirmed on the call — the higher-margin line grew as a share only because system revenue fell 43%.
Gotchas & watch items
- Management was asked point-blank for the revenue level required to break even and declined, citing the size and nature of the business — so the cash burn has no disclosed endpoint against $23.5m of cash.
- The $0.8m order from the Chapter 11 customer is two thirds of the quarter's $1.2m of orders and a fifth of the $3.9m backlog; "expected to be unimpaired" under a proposed plan is not the same as confirmed.
- The promised material reduction in fixed operating costs carries no figure and no timing, against total operating expenses of $1.89m that rose year over year while revenue fell 42.6%.
- The two demand catalysts management named — university research funding and post-shutdown re-quoting — are both external and both open-ended, with the defence opportunity unquantified.
