Miss on both lines: total revenues of $530 million against $545.1 million consensus (-2.8%), and non-GAAP diluted EPS of $0.01 against $0.07.
Guidance cut again and pushed out a year: FY2026 EPS now $0.10-$0.15 and FY2027 EPS $0.85-$0.95, with peer-like profitability moved to 2028 ($1.60-$1.70 EPS), which management says sits on top of where 2027 used to be.
Core lines moved the right way but credit ate the quarter: NIM up 4 bps to 2.17% (September 2.23%), C&I loans up 11% to $20.6 billion, yet provision of $76 million left almost nothing for shareholders.
The call added a Q4 NIM range of 220-225 bps and confirmed no buybacks in Q4 despite a 12.38% CET1 ratio; repurchases are expected to resume in 2027.
The one thing that matters: the higher-for-longer curve is hitting Flagstar on both sides of the balance sheet at once, through rent-regulated credit migration and pricier deposits, and the new 2027-2028 path rests on gathering $800 million to $1 billion of deposits a quarter, a pace this quarter's roughly $300 million did not approach.

Management commentary
Management attributes the downgrade to higher rates, not strategy: the full transformation has shifted to 2028 from 2027, described as a change in timing, not in strategy.
CFO Lee Smith framed the 2027 inflection as mechanical: $12 billion of sub-3.9% coupon multifamily loans reset or mature between October 2026 and year-end 2027, with a further $7 billion in 2028 at a 4.43% average coupon.
Asked where the plan is most at risk, management pointed to deposits: "Can we deliver on the deposit growth?" C&I origination and repricing were described as proven or contractual.
No sale of the rent-regulated book is on the table; resolutions have come within 1%-5% of carrying marks, versus 15%-20% returns sought by buyers of such pools.
Commercial banking added about 75 relationships and just under $600 million of related deposits on $2 billion of net C&I growth, with a $2.7 billion pipeline entering Q4.
Quality of earnings
Even the thin earnings were helped by a one-off. Management put pre-provision earnings at 13 cents a share, of which 4 cents ($22 million) was a tax benefit from settling a 2020 audit.
The provision is mostly a rate call, not realized loss. Of $74 million in net charge-offs, $34 million was already reserved; re-reserving it for higher cap rates and weaker DSCRs took provision to $76 million versus roughly $40 million without the rate move.
Gotchas & watch items
Criticized and classified loans rose $670 million (+6%) and substandard loans $248 million in one quarter, driven by an 18-month look-forward using a curve with four rate hikes.
Non-accrual loans are stuck at about $2.8 billion; management now expects about $2.6 billion at year-end and about $2 billion through 2027, both higher than it previously assumed.
Deposit plan does the heavy lifting: total deposits grew only about $300 million and interest-bearing deposit cost ticked up 1 bp to 3.09%, while competitors are paying up to 4.75% on CDs.
The guide is built on a September curve with four hikes; the 5-year has since fallen about 30 bps, so provision and NIM assumptions are already stale in both directions.
