Highlights & what matters
- Net sales of $6,197 million came in 1.3% below the $6,278 million estimate; adjusted operating EPS of $0.37 beat the $0.29 estimate by 29.5%.
- Guidance moved both ways: full-year Packaging Solutions North America adjusted EBITDA goes to $2.27 billion to $2.31 billion on roughly $145 million of new headwinds, while the fourth quarter is guided to $700 million to $740 million against $663 million delivered. Full-year free cash flow is $100 million to $200 million.
- The sequential inflection is operational: North America adjusted EBITDA rose 56% sequentially with price and mix $141 million favourable and operations and costs $85 million favourable, against $55 million of input-cost and $46 million of volume headwind.
- EMEA delivered $210 million of adjusted EBITDA but came in below plan, and U.S. GAAP guidance for the segment has been withdrawn permanently ahead of the separation.
- The one thing that matters: the EPS beat rests on cost execution, not demand. North America adjusted EBITDA rose 56% sequentially while box shipments fell about 2% year over year and the full-year North America midpoint came down roughly $110 million.

Management commentary
- Silvernail declined to guide 2027 but said a North America EBITDA margin 'with a two in front of it' remains possible, citing 20 closed box plants and mills with no business lost and above-trend productivity gains ahead.
- Loeffler said full realization of the September price increase takes four to five months, landing late in the first quarter or early in the second, and confirmed little of it is in the fourth-quarter guide.
- Outperformance versus industry demand is mostly share gains on business won in prior periods rather than mix, per Loeffler.
- Silvernail put long-run North America box demand at half a point to a point of growth but expects flattish markets near term, with the lower-income consumer under pressure from energy and food inflation.
- Loeffler expects a large working-capital reversal and the lowest capex quarter of the year in the fourth quarter, producing a much stronger free cash flow profile.
Quality of earnings
- The beat is self-help, not volume. Adjusted EBITDA of $843 million on a 13.6% margin, up nearly 400 basis points sequentially, came with box shipments down about 2% year over year; price realization of $141 million and operations of $85 million did the work.
- Cash has not followed earnings. Free cash flow was negative $267 million against $843 million of adjusted EBITDA, with the full-year outlook only $100 million to $200 million; the stated causes are second-quarter maintenance payments, legacy DS Smith interest and a post-outage inventory build.
- Two helps will not repeat. The $20 million Pine Hill cost was partly offset by insurance recovery received in the quarter, and the fourth quarter is the last to carry Ixtac insurance proceeds; corporate expense of $37 million included $30 million of higher insurance costs.
Gotchas & watch items
- The full-year cut dwarfs the quarter's beat: roughly $145 million of incremental headwinds since the second-quarter call — diesel and distribution, volume, about $20 million of Pine Hill net of insurance, employee medical, and an outage moved into Q4 — against $35 million of price benefit, reducing the midpoint by about $110 million.
- A 2027 cost was pulled into 2026: an outage moved from the first quarter of 2027 into the fourth quarter of this year, which flatters next year's starting point.
- EMEA becomes an information gap: $210 million of adjusted EBITDA this quarter and no further U.S. GAAP segment guidance, with the DS Smith Capital Markets Day on November 3rd the next disclosure point.
