Net sales of $6.197 billion missed the $6.278 billion estimate by 1.3% and were down from $6.222 billion a year ago; GAAP diluted EPS from continuing operations of $(2.07) missed the $0.29 estimate, with $2.46 per share of net special items, almost all of it a $1.38 billion non-cash goodwill impairment on PS EMEA.
North America is the bright spot: PS NA segment operating profit rose to $427 million from $204 million in Q2 and $(166) million a year ago, and Q4 guidance of $460-$500 million points to a further step-up.
Full-year PS NA guidance is $1.3-$1.4 billion of operating profit and $2.27-$2.31 billion of adjusted EBITDA; EMEA guidance is withdrawn entirely ahead of the planned DS Smith plc separation.
Cash went the wrong way: operating cash flow fell to $339 million from $605 million while capex rose to $606 million from $455 million, leaving free cash flow of $(267) million against $150 million a year ago.
The one thing that matters: the headline loss is an EMEA write-down, but the cash is the real problem. North America earnings are improving, yet free cash flow is negative for the quarter and year to date while the dividend keeps going out.

Quality of earnings
The GAAP loss overstates the damage. Of the $(1,097) million loss from continuing operations, $1,377 million is a non-cash PS EMEA goodwill impairment; adjusted operating earnings were $197 million ($0.37 per share) against $(224) million a year ago.
Earnings are not converting to cash. Adjusted EBITDA of $843 million produced only $339 million of operating cash flow, and $606 million of capex pushed free cash flow to $(267) million; nine-month free cash flow is $(180) million.
Tax items flatter GAAP, not the adjusted line. The quarter carries $78 million of tax-audit settlement benefit and $38 million of capital-loss benefit, both treated as special items and excluded from adjusted operating earnings.
Gotchas & watch items
Part of the North America jump is bought and timing: Q3 includes a full quarter of the NORPAC mill against one month in Q2, plus lower planned maintenance outage costs, so the $427 million versus $204 million sequential gain is not all run-rate improvement.
North America volume is soft under the price gains: PS NA net sales were $3,880 million against $3,898 million a year ago, with the release citing lower sales volumes from a softer demand environment.
EMEA is getting worse with no outlook to measure it against: segment operating loss widened to $(73) million from $(58) million a year ago on sales of $2,280 million versus $2,310 million, and the company has stopped guiding the business.
Near-term debt has doubled: notes payable and current maturities of long-term debt rose to $1,963 million from $992 million at year-end while cash fell to $815 million from $1,145 million.
