Highlights & what matters
- Diluted EPS of $2.13 beat the $1.50 estimate by 42%, while revenue of $10.06 billion missed the $10.54 billion estimate by 4.6%.
- The EPS beat is not operating: net income of $1.35 billion includes a $336 million one-time non-cash income tax benefit from the reorganization, and adjusted EBITDA of $2.24 billion, up 6% year over year, includes a $53 million net transaction benefit, mostly gains on debt extinguishment.
- Guidance raised for the third time this year: 2026 adjusted EBITDA midpoint to approximately $8.55 billion, up $200 million on the quarter and $450 million from February, with net income midpoint $4.18 billion. Of the $200 million, about $50 million is transaction benefits and $75 million Brazos net of $25 million of costs.
- Capital and leverage both moved: 2026 capex to approximately $3.5 billion from the $3.2 billion high end, while the debt-to-EBITDA target drops to approximately 3.25 times or lower from 3.5 times, after extinguishing nearly $5.5 billion of debt and upgrades to BBB+ from S&P and Fitch.
- The one thing that matters: only about $100 million of the $200 million raise is base business. The durable news is volume — NGL raw feed up 6% to nearly 1.7 million barrels per day, Permian NGL volumes up 16%, Williston rigs on dedicated acreage doubled to 16.

Management commentary
- Hulse said the company has stayed cautious on guidance all year given geopolitical volatility, and that if conditions hold, 'we are probably on the conservative side', with a tailwind into the fourth quarter and 2027.
- On leverage, Hulse framed approximately 3.25 times or lower as a change in philosophy rather than guidance, with 3.5 times now the ceiling and a path below 3 times within a few years.
- Swords said Brazos volumes are running above expectations for this point in the year, the Sundance plants are full, the ramp should fill Cassidy One at year-end, and about 14 rigs are expected on Brazos dedicated acreage in 2027.
- Hulse put 2027 capex around $3 billion and a longer-run range of $2.5 billion to $3 billion, leaving free cash flow for the dividend and capacity for repurchases.
- Swords said refined products blending strength is structural as well as seasonal: synergy projects moved Magellan butane logistics onto pipeline and cut about $0.10 per gallon permanently, with fourth-quarter margins still good.
Quality of earnings
- Strip the transactions and the quarter is good rather than spectacular. The $2.13 of EPS carries a $336 million one-time non-cash tax benefit, and the 6% adjusted EBITDA growth to $2.24 billion includes a $53 million net transaction benefit, chiefly debt-extinguishment gains.
- Earnings are deferred, not lost. Fractionators are fully utilized and unfractionated NGL inventory is building until Medford phase one starts in mid-December, with the associated earnings recognized mainly in the first quarter of 2027.
- The balance-sheet improvement is real and permanent. Nearly $5.5 billion of debt extinguished after a $9 billion minority equity investment, credit upgrades to BBB+ with stable outlook from both S&P and Fitch, and the cash-tax runway extended to 2032 from 2031.
Gotchas & watch items
- The raise is thinner than the headline: of the $200 million increase in the adjusted EBITDA midpoint, roughly $50 million is transaction-related, $75 million is Brazos against $25 million of transaction costs, and $100 million is base-business performance.
- Capex rose about $300 million while the leverage target came down: 2026 capex to approximately $3.5 billion, of which $200 million is Brazos-related, with compression pulled into 2026 from 2027 on Bakken and Mid-Continent activity.
- The soft NGL regions are a choice, not demand: Rockies and Mid-Continent volumes fell sequentially on higher ethane rejection, partly ONEOK dialling back incentivized Bakken ethane, while propane-plus volumes rose in every region.
- A tailwind the fourth-quarter guide does not show: the Waha-to-Katy benefit has already been reduced in the Q4 outlook, and management says current commodity conditions would make that guide conservative.
