Adjusted diluted EPS of $0.15 beat the $0.135 consensus (carried from the preliminary). The revenue Beat carried from the preliminary rests on year-to-date net revenue of $9.009 billion against a $2.58 billion quarterly consensus; on the call, Q3 adjusted revenue was $2.6 billion, near the guidance midpoint.
Q4 adjusted revenue guide of $2.1 billion to $2.3 billion sits below Q3 as management expects the refinance market to fall by almost half and calls Q4 possibly one of the lowest market quarters in three decades.
Share and margin moved up together: purchase share approached 6.5% from 6.2% and refinance share reached 15.5% from 14.3%, while adjusted EBITDA margin rose to 29% from 28%, the highest since Q4 2021.
Costs are doing the work: Mr. Cooper synergies reach the full $400 million in Q4, a year early, with another $100 million of annual savings due in the first half of 2027, and Q4 expenses ex-items guided to $1.850 billion, down $165 million.
The one thing that matters: Rocket is holding margin in a shrinking market through synergies and a home equity mix shift, but the Q4 guide shows revenue still falls with volume; the earnings floor now depends on cost cuts and servicing, not origination growth.

Management commentary
CFO Brian Brown said Q4 seasonality usually runs 15% to 18% below Q3 and that refinance could fall almost 50%, making Q4 potentially one of the lowest market quarters in three decades.
Brown said channel-level gain on sale margins are printing near Q3 levels and the mix shift toward second liens and cash-out should help keep margins steady in Q4, as fewer competitors can cut price.
CEO Varun Krishna contrasted the quarter with late 2023, when Rocket was unprofitable at similar rates: "Three years ago, at these rates, we lost money. Today, we make it."
Management extended the Compass pricing credit through year-end on healthy ROI after more than $3 billion of Rocket Pro locks through Compass since February.
Rocket sold a few low-coupon MSR portfolios while retaining sub-servicing and recapture rights, and said MSR acquisitions remain a good use of capital.
Quality of earnings
GAAP earnings overstate the operating result. GAAP net income of $709 million and $0.25 per share ran well above adjusted net income of $419 million and $0.15, with GAAP revenue of $3.3 billion against $2.6 billion adjusted; the gap reflects MSR fair value, which rose to a $710 million net gain as rates climbed and would reverse if rates fall.
The margin gain is mix and synergy, not price. Gain on sale excluding correspondent rose to 333 basis points from 311 on a higher home equity mix, and total expenses fell $175 million to $2.3 billion, part synergies and part volume-linked variable costs.
The recurring base is real. Servicing produced $1 billion of fee income in the quarter on $2 trillion of unpaid principal balance, and management says over 70% of revenue this year comes from recurring or less rate-sensitive sources.
Gotchas & watch items
Volume is falling even with share gains: applications were down 23% from the Q2 average and the MBA index fell in 10 of 13 weeks, while management expects the 2027 market below the $2 trillion consensus.
Capacity may be cut: management is taking a hard look at north of $300 billion of origination capacity and said it would have more to report next call, beyond the extra $100 million of savings.
Recapture is running ahead of plan: the legacy Mr. Cooper portfolio hit 60% recapture in Q3 against a 65% goal set for the end of 2027.
AI is taking real work: AI completed the credit pull on nearly 20% of direct-to-consumer volume versus zero a year ago, and voice agents handle 65% of inbound servicing calls.
